Song Creation Services License Agreement

1. Ownership and Copyright

1.1 Copyright Retention

asongforyou.ai, including its CEO, Russ Mate, retains all copyright and intellectual property rights to any songs created through asongforyou.ai’s song creation services. By using these services, the Client acknowledges that no copyright is assigned or transferred to the Client or any third party.

1.2 Joint Ownership

If the Client submits their own lyrics for incorporation into the song creation process, the resulting song will be considered jointly owned. Both the Client and asongforyou.ai, including its CEO, Russ Mate, will share copyright in the completed song. The Client will retain rights to the submitted lyrics, while andasongforyou.ai will retain rights to the music composition.

2. License to Use

asongforyou.ai grants the Client a non-exclusive, non-transferable license to use the created song for personal purposes, subject to the terms of this Agreement. The Client may not sell, reproduce, or distribute the song without prior written consent from asongforyou.ai, including its CEO, Russ Mate.

3. Limitation of Liability

asongforyou.ai shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of the song creation services. The Client agrees to indemnify and hold asongforyou.ai, including its CEO, Russ Mate. and its affiliates harmless from any claims, losses, or damages arising from the Client’s use of the created songs.

4. Termination

This Agreement may be terminated by either party upon written notice if the other party breaches any material provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice of such breach.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

6. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior discussions, agreements, or understandings of any kind. Any amendments must be in writing and signed by both parties.

7. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

8. Acceptance

By purchasing song creation services from asongforyou.ai, including its CEO, Russ Mate. and its affiliates, the Client acknowledges that they have read and understood this Agreement and agree to be bound by its terms.
